GENERAL TERMS AND CONDITIONS

1. Introductory provisions

These General Terms and Conditions (hereinafter referred to as the "GTC") govern the legal relations between:

Seller:

Trade name: Agro World Holdings

(hereinafter referred to as the "Seller")

and

Buyer, who is a business person or legal entity (hereinafter referred to as the "Buyer").

2. Subject of the contract

The subject of the contract is the supply of agricultural commodities (e.g. cereals, oilseeds, legumes, feed and other commodities) according to the specification specified in the order or contract.

3. Conclusion of the contract

The contract is formed:

by signing a framework or individual purchase contract, or

by written confirmation of the order in electronic form (e-mail).

The Seller reserves the right to refuse the order without giving any reason.

4. Price

The price of the goods is determined by agreement of the contracting parties.

The price may be:

fixed, or

linked to the stock exchange index / market prices on the day of loading.

Prices are stated with VAT, unless otherwise stated.

Transport costs are included only if explicitly stated in the contract (e.g. INCOTERMS conditions).

5. Payment terms

The Buyer is obliged to pay the price based on the issued invoice.

The standard maturity of the invoice is [7 days].

Payment is made by bank transfer to the Seller's account.

In case of delay in payment, the Seller is entitled to terminate the contractual relationship immediately.

The Seller may request: full payment in advance or an advance payment.

6. Delivery terms

The delivery of goods is governed by INCOTERMS conditions (e.g. EXW, FCA, FOB, CIF, DAP).

The place of delivery is specified in the contract or order.

The risk of damage to the goods passes to the Buyer according to the agreed delivery terms or contractual terms.

The delivery date is approximate, unless expressly agreed otherwise.

The Seller is not liable for delays caused by force majeure.

7. Quality and complaints

The goods must meet the quality parameters specified in the contract.

The Buyer is obliged to check the goods upon receipt.

A complaint must be made in writing without delay, no later than:

48 hours from receipt (obvious defects),

7 days (hidden defects).

Relevant documents (weight tickets, analyses, photo documentation) must be attached to the complaint.

The Seller is not liable for damage caused by improper storage.

8. Reservation of title

The goods remain the property of the Seller until the purchase price is paid in full.

9. Force majeure

Force majeure is considered to be circumstances that the contracting parties could not foresee or influence (e.g. war, strike, natural disasters, government restrictions, embargo).

During the duration of force majeure, the party is not in default.

10. Dispute resolution

The contracting parties undertake to resolve disputes primarily by agreement.

If no agreement is reached, the dispute will be resolved by the competent court according to the registered office of the Seller.

The applicable law is the law of the Republic of Hungary.

11. Protection of confidential information

The parties undertake to maintain confidentiality regarding business and price conditions.

12. Final provisions

These GTC enter into force on 1.8.2005.

The Seller reserves the right to change them.

The invalidity of one part does not affect the validity of the other provisions.

1. Introductory provisions

This Privacy Policy (hereinafter referred to as the "Principles") governs the processing of personal data by the Controller in accordance with European Union law, in particular:

This Policy applies to all personal data processing activities carried out by the Controller in the course of its business or other activities.

2. Identification of the Controller

The Controller determines the purposes and means of the processing of personal data.

3. Scope of personal data processed

The controller processes in particular the following categories of personal data:

identification data (name, surname, title)

contact data (e-mail, telephone number, address)

work and business data (employer, job position)

invoicing and payment data

data contained in contracts and business communications

technical data (IP address, device data, cookies)

The scope of processing depends on the specific legal relationship between the data subject and the controller.

4. Purposes of processing personal data

Personal data are processed mainly for the following purposes:

concluding and fulfilling contractual relationships

communication with clients, partners and suppliers

fulfillment of legal obligations

keeping accounting and records

marketing of own products and services

protection of legal claims

ensuring the protection of property and information systems

5. Legal bases for processing

The processing of personal data is carried out on the basis of one or more of the following legal bases:

consent of the data subject

performance of a contract or pre-contractual measures

fulfillment of a legal obligation

legitimate interest of the controller

performance of a task in the public interest (if relevant)

In the case of processing based on consent, the data subject has the right to withdraw this consent at any time.

6. Recipients of personal data

Personal data may be made available or provided to:

intermediaries providing services on behalf of the controller (IT services, hosting, accounting, legal services)

business partners to the extent necessary for the performance of the contract

public authorities, if required by law

A contract ensuring adequate protection of personal data is concluded with each intermediary.

7. Transfer of personal data to third countries

If personal data is transferred outside the European Union or the European Economic Area, the controller shall ensure appropriate data protection safeguards, in particular through:

an adequacy decision,

standard contractual clauses,

or other mechanisms set out in the GDPR.

8. Retention period of personal data

Personal data are stored:

during the duration of the contractual relationship,

for the period specified by law,

for the period necessary to protect legal claims,

until the withdrawal of consent (if the processing is based on consent).

After the retention period, the data is securely deleted or anonymized.

9. Rights of data subjects

In accordance with the GDPR, the data subject has the right:

to access their personal data,

to correct inaccurate or incomplete data,

to erase personal data,

to restrict processing,

to data portability,

to object to processing,

not to be subject to a decision based solely on automated processing (including profiling),

to file a complaint with the competent supervisory authority in the EU.

Requests regarding the exercise of rights can be sent to the contact details of the operator.

10. Security of processing

The operator takes appropriate technical and organizational measures to ensure the protection of personal data, in particular:

encryption and secure communication,

access rights management,

internal guidelines and employee training,

regular risk assessment and security checks.

11. Changes to the personal data protection policy

The operator reserves the right to update these Policies. The current version will always be published on the operator's official communication channels.

3. Maritime transport

We offer efficient transport of agricultural commodities on the Danube, one of the main European waterways, connecting the hinterland with the Black Sea and international maritime routes. The Danube is a strategic transport artery for cereals, oilseeds, feed, fertilizers and other agro-commodities.

Route and transport options:

Origin: The Danube originates in Germany (Swabian Hills) and passes through 10 countries: Germany, Austria, Slovakia, Hungary, Croatia, Serbia, Romania, Bulgaria, Moldova and Ukraine.

Destination: Transport can continue to the Black Sea, where subsequent maritime distribution to Turkey, the Middle East or the Mediterranean is possible.

Main ports: Bratislava (Slovakia), Komárno (Slovakia), Budapest (Hungary), Belgrade (Serbia), Galati and Constanța (Romania), Reni and Izmail (Ukraine).

Types of ships suitable for the Danube:

Rijeka and river barges: flat-bottomed ships suitable for bulk cargo such as grain, corn, soybeans or feed.

Push-tow convoys: multiple ships linked together for more efficient transport of larger volumes.

Tankers and multipurpose ships: for liquid or packaged agro-commodities such as vegetable oils or fertilizers in liquid form.

Advantages of Danube transport:

Economic efficiency: significantly lower costs compared to road or rail transport for large volumes.

Environmental friendliness: lower carbon footprint per ton of cargo.

Flexibility: possibility of combination with rail and road transport for door-to-door delivery.

Cargo safety: stable transport of dry and packaged commodities with minimal damage.

4. Train transport

We offer reliable and flexible rail transport of agricultural commodities across Central and Eastern Europe, from producers to consumers or ports for further international distribution. Rail transport is ideal for large-volume commodities that require safe and economical transport.

Routes and transport options:

Origin: The main production areas of cereals and oilseeds include Slovakia, Hungary, Romania, Ukraine and the Czech Republic.

Destination: The transport can be directed to inland ports on the Danube or the Black Sea, large logistics centers in Central Europe, or to Western European export destinations (Germany, Poland, Austria).

Main rail hubs: Bratislava, Komárno, Budapest, Győr, Debrecen, Košice, Constanța (Romania - port), Reni (Ukraine).

Types of trainsets and wagons suitable for agro-commodities:

Hopper cars: for cereals, corn, soybeans, barley.

Tank cars: for liquid agro-commodities, e.g. vegetable oils or liquid fertilizers.

Boxcars / covered wagons: for packaged commodities sensitive to moisture, such as seeds, packaged feed or specialty products.

Flatcars / platforms: for palletized or containerized transport, ideal for combined transport (train + ship / truck).

Advantages of rail transport:

High-volume efficiency: transport of hundreds to thousands of tons per train.

Lower costs over long distances compared to road transport.
